Constitution of the English Council of the California State University

Article I
The name of this organization shall be “The English Council of the California State University.”

Article II
The purpose of this organization is to encourage effective teaching of English in the State of California.

Article III
The English Council is an independent professional organization affiliated with the California Association of Teachers and the National Council of Teachers of English.

Article IV
The Chair of the Department of English, the Coordinator of Composition, and two other members of each Department of English in the California State University shall be eligible for regular voting membership in the English Council.  Membership shall be for the academic year.

Article V:  Officers of the English Council

  1. The officers of the English Council of the California State University shall be a President, a Vice-President for Program Development, a Secretary, a Treasurer, and a Composition Coordinator.
  2. Each officer shall be elected for a term of two years.  The term of office for each officer shall normally begin with the close of the spring meeting.  In the event of special elections to fill vacated offices, the officer shall assume his/her duties immediately upon election.
  3. A Nominating Committee composed of past presidents who are still active members of the Council, and chaired by the immediate past president, shall be constituted at the fall meeting before the end of the officers’ terms.  The Nominating Committee shall solicit nominations from the membership, and prepare a nominating ballot.  Any Council member may also be nominated by petition signed by five voting members of the Council and submitted to the Nominating Committee.  Nominations shall close one month before the spring meeting.
  4. Election of officers shall be conducted by mail ballot.  Ballots shall be distributed by the immediate Past President upon close of nominations, and must be returned at least one week before the spring meeting.  Each campus shall receive ballots for four voting members:  the Chair, Coordinator of Composition, and a third and fourth voting member designated by the Chair.
  5. The President shall preside over all meetings of the organization and direct its affairs.
  6. The Vice-President shall assist the President in planning and running the semi-annual meetings, particularly the program topics and speakers.  He/she shall also carry out duties assigned to him/her by the President and shall preside in the absence of the President.
  7. The Secretary shall keep an accurate record of the proceedings of the organization.
  8. The Treasurer shall have custody of the funds of the organization and shall make a financial report to the organization at each meeting.  The Treasurer shall also maintain the membership directory.
  9. The Composition Coordinator shall serve as liaison with all composition programs in the CSU system.
  10. In the event of a vacancy in the office of President, the Vice-President shall assume that office.  Any other vacancy shall be filled by a general election at the earliest meeting after the vacancy occurs; an officer so elected shall serve until the next regular election.

Article VI:  Operation of the Council

  1. The Council shall have an Executive Committee composed of the five elected officers and the immediate Past President.  The Executive Committee shall set the agenda for meetings and shall consult with the President in the conduct of the affairs of the organization.
  2. The President, in consultation with the Executive Committee, shall appoint such additional committees as shall be needed to conduct the affairs of the organization.
  3. The organization shall hold two meetings annually, one in the fall and one in the spring.
  4. An additional meeting may be called by the President, or by the Executive Committee, or by a majority of the members, upon a month’s written notice to each member, specifying time, place, and purpose of the meeting.
  5. A quorum shall exist when more than half of the operating State Universities are represented at a meeting.
  6. Action may be taken by a mail vote conducted by the Secretary, provided that a majority of the members return ballots.
  7. The President shall serve as a representative to the Executive Board of the California Association of Teachers of English.
  8. The organization shall send a representative to the Executive Board of the National Council of Teachers of English.

Article VII:  Fiscal Affairs

  1. The fiscal year shall be the academic year.
  2. The funds of the organization shall be disbursed by the Treasurer in accordance with the adopted budget and with actions taken by the organization.
  3. The officers of the organization shall be responsible for a proper audit of accounts, such audit to be completed by the end of the academic year.
  4. The annual dues shall be the minimum necessary for the operation of the organization.  Dues shall be collected by the treasurer.

Article VIII
Any proposal to amend this Constitution must be stated in the call to convene a meeting.  An amendment shall be adopted if two thirds of the members present at a meeting vote to adopt it.  An amendment may be adopted by mail vote if two thirds of the members who return ballots vote to adopt it.

Article IX
The English Council’s purpose is exclusively educational and informative.       Amended 10.27.05

Article X
No earnings or revenues of the Council are intended to be paid to individual members or officers, except to pay reasonable compensation for services rendered or expenses incurred.  There is no compensation for officers of the Council per se; some expenses, however, are occasionally reimbursed.  No substantial part of our activities is intended to influence legislation or support candidates for public office.       Amended 10.27.05

Article XI
Should the Council be dissolved, its assets shall be distributed equally to all contributing English Departments of the California State University.  (These are component parts of a nonprofit educational institution of the State of California.)       Amended 10.27.05
